Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DBToAgent platform, website, and related services (collectively, the "Service") provided by Powerful Thinking Inc., doing business as DBToAgent ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

DBToAgent is a platform that allows you to create AI-powered agents that connect to your databases and respond to natural language queries. The Service includes:

  • AI agent creation and management
  • Natural language to SQL query conversion
  • Interactive chart generation and data visualization
  • AI Insights and predictive analytics
  • Table-level permission controls
  • Session storage and conversation history
  • Team collaboration features

3. Account Registration

3.1 Account Creation

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

3.2 Account Security

You agree to immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Your Database and Data

4.1 Database Credentials

You are responsible for the database credentials you provide to the Service. We strongly recommend using read-only credentials. You represent that you have the right and authority to connect to and query any database you configure with the Service.

4.2 Data Ownership

You retain all rights to your data. We do not claim ownership over any data in your databases or any content you create using the Service. Query results are streamed to your browser and are not persisted on our servers.

4.3 Data Responsibility

You are solely responsible for:

  • The data stored in your databases
  • Ensuring your use of the Service complies with all applicable data protection laws
  • Obtaining any necessary consents for processing personal data through the Service
  • Configuring appropriate table permissions to restrict access to sensitive data

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to bypass security measures, table permissions, or access controls
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to develop a competing product
  • Share your account credentials with third parties
  • Overwhelm the Service with excessive automated requests (rate limiting applies)
  • Use the Service to process data you are not authorized to access
  • Attempt to use the AI agent to execute destructive database operations (DROP, TRUNCATE, etc.) when write permissions are not explicitly granted

6. Plans and Payment

6.1 Free Trial

New accounts receive a 14-day free trial with limited features (1 database agent). No credit card is required to start a trial. When the trial expires, you must upgrade to a paid plan to continue using the Service.

6.2 Paid Plans

We offer Starter ($29/mo), Pro ($49/mo), Business ($249/mo), and Enterprise (custom pricing) plans. Plan details, including features and agent limits, are described on our pricing page and may be updated from time to time.

6.3 Billing

Paid plans are billed in advance on a monthly or annual basis through Stripe. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice to existing subscribers.

6.4 Cancellation

You may cancel your subscription at any time through the Billing page. Cancellation takes effect at the end of your current billing period. You will retain access to your plan features until then.

7. AI and Machine Learning

7.1 AI-Generated Content

The Service uses artificial intelligence to generate SQL queries, charts, insights, and responses. AI-generated content may not always be accurate. You are responsible for reviewing and validating any AI-generated queries before relying on their results for business decisions.

7.2 AI Insights

The AI Insights feature analyzes your data patterns to provide recommendations and predictions. These insights are provided for informational purposes and should not be considered professional advice. We do not guarantee the accuracy of predictions or recommendations.

7.3 LLM Usage

The Service sends chat messages to third-party LLM providers (such as OpenAI or Anthropic) to generate responses. By using the Service, you acknowledge this data flow. Enterprise customers may configure self-hosted LLMs to keep all data within their infrastructure.

8. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Powerful Thinking Inc. (operating as DBToAgent) and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

9. Availability and Support

9.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance or updates that temporarily affect availability. We will provide reasonable notice for planned maintenance when possible.

9.2 Support

Support levels depend on your plan: email support (Starter), priority support (Pro), dedicated support (Business), and a dedicated account manager (Enterprise).

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POWERFUL THINKING INC. (DBTOAGENT) SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of data, profits, or business opportunities
  • Any damages resulting from AI-generated queries or insights
  • Any damages resulting from unauthorized access to your database (if caused by your misconfiguration)
  • Service interruptions or downtime

Our total liability shall not exceed the fees you have paid in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Powerful Thinking Inc. (DBToAgent) from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a security risk. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow you to export it.

13. Modifications

We may modify these Terms at any time. We will notify you of material changes via email or a prominent notice in the Service. Your continued use after changes take effect constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

15. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and Security Policy, constitute the entire agreement between you and Powerful Thinking Inc. (DBToAgent).
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms. We may assign them in connection with a merger or acquisition.
